1. Acceptance of terms

These Terms of Service ("Terms") govern access to and use of the OrgAlyne platform (the "Service"), provided by OrgAlyne, Inc. ("OrgAlyne," "we," "us"). By creating an account, starting a trial, or otherwise using the Service, you agree to these Terms on behalf of yourself and, if applicable, the organization you represent. If you do not agree, do not use the Service.

If your organization has a signed order form or separate written agreement with OrgAlyne (see our SaaS Subscription Agreement), that agreement governs to the extent it conflicts with these Terms.

2. Accounts and organizations

You must provide accurate information when creating an account and keep your login credentials confidential. You are responsible for activity that occurs under your account. Each organization workspace is administered by one or more Organization Administrators, who are responsible for managing user access, roles, and permissions within that organization, including inviting and removing members.

OrgAlyne is a multi-tenant platform: your organization's data is logically isolated from other organizations, but the underlying infrastructure may be shared. See our Security Overview for detail on how tenant isolation is enforced.

3. Subscriptions and fees

Paid plans, trial terms, billing cycles, and cancellation terms are described in our SaaS Subscription Agreement and on our Pricing page, both incorporated into these Terms by reference.

4. Acceptable use

You agree to use the Service in compliance with our Acceptable Use Policy, which is incorporated into these Terms by reference. Violations may result in suspension or termination of your account.

5. Your content

You and your organization retain ownership of all content you submit to the Service ("Customer Content"), including strategic priorities, meeting records, documents, and member information. You grant OrgAlyne a limited license to host, process, and display Customer Content solely as necessary to provide the Service to you. We do not claim ownership of Customer Content and will not use it for purposes unrelated to providing and improving the Service, except as described in our Privacy Policy and AI Use Disclosure.

You represent that you have the necessary rights and permissions to submit Customer Content, including any personal information about your organization's members, and that you have provided any notices or obtained any consents required under applicable law to do so.

6. Our content and intellectual property

The Service, including its software, design, trademarks, and documentation, is owned by OrgAlyne or its licensors and is protected by intellectual property laws. Except for the limited rights expressly granted to use the Service, no rights are transferred to you.

7. AI features

The Service may offer optional AI-assisted features. AI-generated content is clearly labeled and requires human review before it becomes part of an official record. AI outputs are provided "as is" and may contain errors; you are responsible for reviewing and verifying any AI-assisted content before relying on it, and AI recommendations do not constitute an approved organizational decision. 8. Third-party services

The Service may integrate with or link to third-party services (for example, payment processors or calendar tools). OrgAlyne is not responsible for the practices or content of third-party services, which are governed by their own terms and policies.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. ORGALYNE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE, AND DOES NOT GUARANTEE ANY PARTICULAR ORGANIZATIONAL OR OPERATIONAL OUTCOME FROM USE OF THE SERVICE.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ORGALYNE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. ORGALYNE'S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID TO ORGALYNE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. 11. Indemnification

You agree to indemnify and hold OrgAlyne harmless from claims, damages, and expenses (including reasonable attorneys' fees) arising from your violation of these Terms, your Customer Content, or your violation of any law or third-party right.

12. Termination

You may cancel your subscription at any time through account settings, effective at the end of the current billing period unless otherwise stated in the SaaS Subscription Agreement. OrgAlyne may suspend or terminate accounts that violate these Terms or the Acceptable Use Policy, with notice where reasonably practicable. Upon termination, your right to access the Service ends, though certain provisions of these Terms (such as limitation of liability and indemnification) survive.

13. Governing law and disputes

14. Changes to these terms

We may update these Terms from time to time. For material changes, we will provide notice (such as email to Organization Administrators or an in-app notice) before the changes take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
