SaaS Subscription Agreement

1. Scope of this agreement
This SaaS Subscription Agreement ("Agreement") supplements our Terms of Service and governs paid subscriptions to the OrgAlyne platform. It applies to the organization that registers for a subscription ("Customer") and to OrgAlyne, Inc.
2. Plans and fees
OrgAlyne offers the following subscription plans, with feature and user-count limits as described on our Pricing page, which is incorporated into this Agreement by reference and may be updated from time to time (changes to fees will not apply retroactively to an active billing period without notice):

Annual billing is offered at a discount roughly equivalent to two months free compared to monthly billing, as shown at checkout.
3. Free trial
New organizations receive a 14-day free trial with no credit card required. At the end of the trial, Customer must select a paid plan to continue using the Service beyond trial feature and data limits; OrgAlyne will provide reasonable advance notice before trial expiration.
4. Billing and payment
Fees are billed in advance on a monthly or annual basis via our third-party payment processor. Customer authorizes recurring charges to the payment method on file until the subscription is canceled. If a payment fails, OrgAlyne will attempt to notify Customer's billing contact and may suspend access to the Service if payment is not received within a reasonable cure period (see failed-payment notices in-app for specific timing).
5. Upgrades, downgrades, and seat changes
Customer may upgrade plans at any time, with the new rate applied on a prorated basis for the remainder of the billing period. Downgrades take effect at the start of the next billing period. Enterprise plans with multiple chapters or affiliates are subject to a separately negotiated order form.
6. Cancellation
Customer may cancel a subscription at any time from account Settings. Cancellation takes effect at the end of the current paid billing period; Customer retains access to the Service through that date. OrgAlyne does not automatically delete Customer Content immediately upon cancellation; see Data retention in our Privacy Policy.
7. Refunds
[Placeholder: confirm final refund policy with counsel/finance. For example, fees are generally non-refundable except as required by law or expressly stated at time of purchase; consider a pro-rated refund policy for annual plans canceled early, if desired as a customer-friendly differentiator.]
8. Service availability
OrgAlyne will use commercially reasonable efforts to maintain Service availability, excluding scheduled maintenance (which we will attempt to schedule outside of peak usage hours and announce in advance where practicable) and events outside our reasonable control. [Placeholder: add a specific uptime commitment, e.g. 99.9%, and service credit remedy only if the business is prepared to operationally support and honor it; do not commit to an SLA that isn't backed by real infrastructure monitoring.]
9. Data export and portability
Organization Administrators can export their organization's data (including priorities, committee records, actions, meetings, decisions, and reports) from within the Service. Upon request following termination, OrgAlyne will make Customer Content available for export for a reasonable period, consistent with our Privacy Policy.
10. Support
Support is provided as described in-app and via the contact channels listed on our site. Response-time commitments, if any, for Professional and Enterprise plans will be described in the applicable order form. [Placeholder: define support tiers/SLAs per plan once support operations are staffed.]
11. Term and termination
This Agreement remains in effect for as long as Customer maintains an active subscription. Either party may terminate for the other's material breach that remains uncured after thirty (30) days' written notice. OrgAlyne may also suspend or terminate access for violations of the Acceptable Use Policy as described in our Terms of Service.
